Terms of Service

These Terms govern use of hireJudi, a product of Vector Digital Solutions LLC, a Nevada limited liability company (732 S 6th St STE N, Las Vegas, NV 89101) ("hireJudi," "we"). By creating an account or using the service you ("Customer," "you") agree to these Terms. If you accept for an organization, you represent you have authority to bind it.
1. The service
hireJudi provides an AI-powered front office for appointment-based businesses: an AI assistant ("Judi") that answers phone calls and web chats, appointment booking and calendar sync, a workspace CRM, forms and intake, electronic signatures, document tools, and invoicing. The service is self-serve software; we do not provide receptionist staffing, professional advice, or managed services.
2. Accounts and plans
- Plans, included usage (such as AI voice minutes and document digitizations), and overage rates are as published on our pricing page at the time of billing. Plans are billed per location with unlimited team seats.
- Subscriptions renew monthly or annually until cancelled. You can cancel anytime from your account; cancellation takes effect at the end of the current billing period (for annual plans, the end of the paid annual term). Fees are non-refundable except as stated in the Refund Policy or required by law.
- Usage beyond included allotments is billed at the published overage rates. We will not raise your plan price mid-term; price changes take effect at renewal with notice.
- You are responsible for activity under your account and for keeping credentials secure. HIPAA-enabled organizations have MFA enforced.
3. Your data
- You own your data. Contacts, conversations, recordings, transcripts, documents, form responses, and invoices in your workspace ("Customer Data") belong to you. We process Customer Data only to provide the service, per our Privacy Policy, and never sell it or use it for advertising.
- AI processing. Judi uses AI subprocessors (listed in the Privacy Policy) to answer calls and chats and process documents. We do not permit subprocessors to train their models on Customer Data.
- Retention and export. Recording/transcript retention is configurable in the product (default 60 days). You may export your data at any time. On account deletion, data is purged per the schedule in the Privacy Policy (30-day grace window).
Customer-Connected Services and communications. A "Customer-Connected Service" is a third-party account, application, platform, mailbox, calendar, payment account, communications provider, or other service that you independently select, contract for, control, and authorize hireJudi to access or use. You are responsible for your authority, configuration, instructions, provider relationship, and any provider agreement, BAA, notice, consent, opt-out process, or other legal or contractual requirement applicable to your use, including message content, recipients, sender identities, and connected accounts you supply. We may rely on your authorization and do not undertake to audit the provider or your contract. You must promptly disconnect the Customer-Connected Service or revoke our authorization when your authority to use it or your provider relationship ends. We remain responsible for safeguarding authorization material within hireJudi and using the connection only as authorized. A provider we independently select or engage to perform the service remains our subprocessor. The external service itself is not part of hireJudi, and you are responsible for any fees it charges. Except for our express obligations under these Terms, the BAA, or the DPA regarding our handling of Customer Data and authorization material, we do not control or warrant the external service's availability, security, performance, or acts or omissions. We may change supported providers, authorization methods, routing, limits, and protective controls, and have no obligation to provide a hireJudi-domain sender, fallback delivery method, or particular integration.
4. HIPAA and the Business Associate Agreement
- If you are a HIPAA Covered Entity (or a Business Associate of one), you must operate on a plan that includes HIPAA controls and execute our Business Associate Agreement ("BAA") before introducing protected health information ("PHI") into the service. The BAA is available in-app and executes electronically; it is incorporated into these Terms for those customers and controls over these Terms with respect to PHI.
- If you use a plan without HIPAA controls, you agree not to submit PHI to the service.
- You remain responsible for your own HIPAA obligations as a Covered Entity, including determining that your configured retention period satisfies your record-keeping obligations.
5. Acceptable use
You will not use hireJudi to violate law; send spam or unconsented marketing messages; harass; impersonate; infringe others' rights; probe or disrupt the service; or resell it without our written agreement. We may suspend accounts for material violations, with notice where practicable.
6. Call recording, AI disclosure, and telephony consent
- Calls and chats handled by Judi may be recorded and transcribed to provide the service.
- Safe defaults; your configuration, your responsibility. The service ships with compliant defaults, including an AI and call-recording disclosure in the default greeting, with in-product guidance. You may customize your configuration, and you are solely responsible for ensuring it complies with the laws that apply to you and your callers, including all-party-consent and AI-disclosure requirements. These include, without limitation, state wiretapping/recording statutes such as the California Invasion of Privacy Act (Cal. Penal Code §§ 631, 632.7) and bot-disclosure statutes such as California Business & Professions Code § 17941. Configuring or using the service in violation of applicable law is a material breach of these Terms.
- Judi can send text messages during a phone call when the caller asks for one or accepts Judi's offer of one, such as a booking confirmation or an intake link, sent to the number the caller is calling from. Web chat cannot send texts. These are transactional messages sent at the recipient's request; the service does not send marketing texts or unsolicited campaigns, and you must not attempt to use it for them. Scheduled reminders are delivered by email. If broader SMS features are introduced, these Terms will be updated with additional consent and opt-out terms.
7. Professional responsibility
Judi is administrative software. It books appointments, collects information, and routes conversations. Judi does not provide medical, legal, or other professional advice, does not perform clinical triage, and is not a substitute for professional judgment. Where a caller raises a matter requiring a professional, Judi's designed behavior is to route or transfer per your configuration. You are responsible for the professional services you provide, for emergency-call handling configuration, and for reviewing AI-generated content (including documents and superbills) before relying on it. The default configuration includes an emergency instruction directing callers with emergencies to hang up and dial 911. If you modify or remove it, you are solely responsible for your own emergency-call handling, and the safe-defaults allocation in Section 6 applies. Where you provide mental or behavioral health care, you are responsible for using Judi consistently with any applicable restrictions on AI in that context (for example, Nevada AB 406, which permits administrative AI use but requires independent review of AI-generated notes or billing content) and for not configuring Judi to perform functions that constitute the practice of professional mental or behavioral health care.
8. Electronic signatures
The e-signature feature is designed to create records consistent with the ESIGN Act and UETA. You are responsible for determining that e-signature is appropriate for a given document type in your jurisdiction and for the content of documents you send for signature. We do not warrant the enforceability of any particular signed document.
9. Payments
Payments and invoicing run on Stripe through a Stripe connected account that belongs to you; funds from your clients settle to your connected account under your agreement with Stripe. hireJudi is not a party to transactions between you and your clients and is not a money transmitter. You are responsible for the accuracy of invoices, superbill contents, and applicable taxes.
10. Intellectual property
We own the service, its software, and our marks. You get a subscription-term license to use the service. You grant us a license to host and process Customer Data solely to provide the service. Feedback may be used without obligation. Judi's voice, name, and personality are ours; you may say your practice "uses hireJudi" but may not imply we endorse you.
11. Warranties and disclaimers
The service is provided "as is." We do not warrant uninterrupted or error-free operation, that Judi will answer every call or answer every question correctly, or any particular business outcome (bookings, revenue, missed-call recovery). AI systems make mistakes; you are responsible for supervision appropriate to your use.
12. Liability
Neither party is liable for indirect, incidental, special, consequential, or punitive damages. Except for a party's indemnification obligations, willful misconduct or gross negligence, and Customer's payment obligations, each party's total liability is capped at the fees paid or payable in the twelve months before the claim; liability arising under an executed BAA is capped at two times (2x) that amount.
13. Indemnification
You will defend and indemnify us against third-party claims arising from your content, professional services, selection, configuration, authorization, or use of a Customer-Connected Service, communications or instructions, violation of law (including recording, telemarketing, messaging, and health-privacy laws where allocated to you in Sections 3 and 6–7), breach of a provider agreement applicable to your connected account, or breach of these Terms.
14. Term, suspension, termination
Either party may terminate at the end of a billing period. We may suspend for material breach, security risk, or non-payment, with notice where practicable. On termination you may export Customer Data during a thirty (30) day window before purge.
15. General
Nevada law governs. Disputes are resolved by binding bilateral arbitration, with a small-claims carve-out; both parties waive class actions. Venue for matters not subject to arbitration is Clark County, Nevada. We may update these Terms with notice; continued use after the effective date is acceptance, and material changes will be emailed to account owners.
